These Terms of Service (“Terms”) govern your access to and use of the RCM Biosciences website, catalog, inquiry forms, and any research products supplied by RCM Holdings LLC (“RCM,” “we,” “us”). Please read them carefully before browsing the catalog or submitting an inquiry.

Acceptance of Terms

By accessing the website, submitting an inquiry, or placing a research product order with RCM, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the website or submit an inquiry.

Eligibility

The website and research products are intended for use only by qualified research professionals who are at least 18 years old and who are legally permitted in their jurisdiction to receive, handle, store, and dispose of research chemicals in a laboratory setting. By using the website, you represent that you meet these requirements.

Research-Use-Only Restriction

All products supplied by RCM are for laboratory and analytical research use only. They are not for and must not be used for:

• Human use of any kind, including consumption, ingestion, application, or administration
• Animal use of any kind, including veterinary treatment
• Injection into any living organism
• Diagnostic, therapeutic, or clinical purposes
• Household, food, cosmetic, or personal-care purposes

You agree that you will not use RCM products for any of the above purposes and that you assume full responsibility for compliance with this restriction.

Customer Responsibilities

You are solely responsible for the lawful handling, storage, use, transfer, and disposal of research products you receive from RCM. This includes ensuring appropriate laboratory conditions, following applicable safety practices, and complying with all federal, state, provincial, and local laws in your jurisdiction. RCM makes no representation that any product is legal or appropriate for use in any specific location; that determination is your responsibility.

Product Information and Availability

Product listings, catalog copy, specifications, and images are provided for identification and reference. RCM makes reasonable efforts to keep listings accurate but does not warrant that every listing is free from error or omission. Products are subject to availability and may be modified, replaced, or discontinued at any time without notice.

Pricing and Corrections

Prices are listed in United States Dollars and are subject to change without notice. In the event of a pricing error, we reserve the right to correct the error, cancel affected orders, or issue a credit or refund of any amount already paid for the affected item. Sales tax, shipping charges, and other applicable fees are calculated at the time an invoice is prepared.

Invoicing and Payment

Inquiries are reviewed and, when accepted, an invoice is prepared for you. Accepted payment arrangements are listed on the invoice at the time it is issued. Orders are processed only after payment has been received and cleared. RCM is not obligated to accept any particular form of payment.

Order Acceptance and Verification

Submission of an inquiry does not constitute an accepted order. RCM reserves the right to accept, reject, or cancel any inquiry or order at any time and for any lawful reason, including suspected fraud, incomplete or inaccurate information, restricted destinations, or violations of these Terms. For fraud prevention we may verify identity, payment, or shipping information before an order ships.

Shipping and Delivery

Shipping addresses and delivery details supplied by you must be complete and accurate. Once a package leaves our facility, delivery timelines and handling are the responsibility of the shipping carrier. RCM is not liable for carrier delays, weather disruptions, incorrect address information supplied by the customer, or other events outside our reasonable control. We do not guarantee delivery on any specific date.

International Inquiries

International inquiries are reviewed on a case-by-case basis. You are responsible for verifying and complying with all import requirements, customs procedures, duties, taxes, and any local laws in the destination country before submitting an international inquiry. RCM may decline any international inquiry for any lawful reason.

Returns, Damaged Shipments, and Discrepancies

If your shipment arrives damaged or contains missing items or an order discrepancy, you must contact research@rcmbiosciences.com within three (3) calendar days of the delivery date, keeping the original packaging, any damaged product, and all related documentation. Reports received after the three-calendar-day window will not qualify for replacement or credit. Reports received within the window are reviewed individually and, where verified, may be resolved by replacement, credit, or refund at RCM’s discretion. Because research products are used for laboratory research, items are otherwise not returnable once shipped.

Certificate of Analysis and Batch Variation

A Certificate of Analysis (CoA) is available where documented for the applicable batch and lot. CoA information describes only the specific batch tested; other batches or lots of the same product may vary. Physical and chemical properties, appearance, and packaging may also vary between lots. Nothing in a CoA constitutes a claim of sterility, endotoxin testing, therapeutic activity, safety, or fitness for any particular use unless expressly stated on the CoA itself.

Intellectual Property

The website, catalog copy, product photographs, illustrations, blog articles, logos, and all other RCM materials are the property of RCM Holdings LLC or its licensors and are protected by intellectual-property laws. You may not copy, republish, resell, scrape, or create derivative works from the website content without our prior written permission, except for reasonable non-commercial personal use permitted by law.

Prohibited Website Use

You agree not to use the website in any manner that:

• Violates any applicable law or regulation
• Infringes on the rights of RCM or any third party
• Introduces malware, harmful code, or attempts to disrupt website operation
• Uses automated scraping, harvesting, or data-mining tools without authorization
• Attempts to circumvent security features, authentication systems, or access controls
• Submits false, misleading, or fraudulent identity, payment, or shipping information

Accounts and Website Security

If you create an account, you are responsible for the accuracy of the information you provide and for maintaining the confidentiality of your credentials. You are responsible for all activity that occurs under your account. Notify us immediately at research@rcmbiosciences.com if you believe your account has been compromised.

Third-Party Services and Links

The website may include links to third-party websites or embed third-party services. RCM does not control these third parties, does not endorse their content, and is not responsible for their availability, terms, or practices. Your use of any third-party service is governed by that third party’s own terms and policies.

Disclaimer of Warranties

The website and all research products are provided “as is” and “as available.” To the fullest extent permitted by law, RCM disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, uninterrupted operation, and freedom from harmful components. RCM makes no representation that any product will meet your specific research needs or produce any particular result.

Limitation of Liability

To the maximum extent permitted by law, RCM and its affiliates, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or in connection with your use of the website or any product supplied by RCM. RCM’s aggregate liability under any legal theory shall not exceed the amount paid by you for the specific product or transaction giving rise to the claim.

Indemnification

You agree to defend, indemnify, and hold harmless RCM Holdings LLC and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with (a) your access to or use of the website or products, (b) your violation of these Terms, (c) your violation of any applicable law or regulation, or (d) your use, storage, transfer, or disposal of any research product.

Suspension or Termination of Access

RCM may suspend or terminate your access to the website, cancel any pending inquiry or order, or refuse any future inquiry, at any time and for any lawful reason, including violation of these Terms. Suspension or termination does not relieve you of any obligation already incurred.

Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last Updated” date at the top of this page. Your continued use of the website after an update constitutes acceptance of the revised Terms.

Severability

If any provision of these Terms is held to be unenforceable, the remaining provisions will continue in full force and effect, and the unenforceable provision will be modified only to the extent necessary to make it enforceable.

Entire Agreement

These Terms, together with our Privacy Policy and any invoices, order confirmations, and written agreements between you and RCM, constitute the entire agreement between you and RCM regarding your use of the website and research products.

Governing Law

These Terms and any dispute arising from or relating to the website, products, orders, or services will be governed by the laws of the State of Texas, without regard to its conflict-of-law principles, except where applicable federal law or another mandatory law provides otherwise.
